The Reserve Bank of India has sanctioned the amalgamation of the Indian branches of Emirates NBD Bank P.J.S.C. with RBL Bank, effective 1 December 2026, according to a Corplawupdates report on an RBI press release dated 16 October 2026. Spectate Media has not seen the release itself.
The sanction
The scheme is under sub-section (4) of Section 44A of the Banking Regulation Act, 1949. The branches in Mumbai, Gurugram and Chennai are transferred as a going concern, and from 1 December 2026 operate as RBL Bank branches.
The background
The report, drawing on press and company announcements, says the Competition Commission approved the combination in January 2026, the RBI approved Emirates NBD's majority stake in April, and the Finance Ministry approved foreign holding up to 74% in May. The transaction closed in June, with Emirates NBD acquiring about 60% of RBL Bank at ₹280 a share for about 929.1 million shares. That multiplies to roughly ₹26,015 crore, which the report gives as about ₹26,000 crore, or $2.75 billion, and calls the largest foreign direct investment in Indian banking. Emirates NBD's voting rights are capped at 26%, and it remains promoter.
Share price
RBL Bank shares rose about 1.1% to ₹378.25 on the NSE on 16 October 2026.
Key numbers
- Effective date: 1 December 2026 (Three branches)
- Stake acquired: About 60% (In June 2026)
- Voting rights cap: 26% (Emirates NBD)
- Deal value: ₹26,015 cr (929.1 m shares at ₹280)
What boards and CFOs should note
Three points stand out. First, customers of the three branches move to RBL Bank on 1 December, so the effect is operational rather than a new acquisition. Second, the foreign owner holds about 60% of the shares but only 26% of the votes, which matters for governance. Third, the report's explanation of why the branches are being merged is its own analysis, not in the release as described.
