Tata Steel has received the certified copy of an order of the National Company Law Tribunal (NCLT) approving the amalgamation of its wholly owned subsidiary Rujuvalika Investments Limited into the company. The Mumbai bench pronounced the order on 1 October 2026, and Tata Steel received the certified copy on 15 October 2026, according to ScanX.

What the order approves

The scheme was approved under Sections 230 to 232 of the Companies Act, 2013. Rujuvalika is the transferor company and Tata Steel the transferee. The appointed date is 1 April 2023, and the accounting method is pooling of interests. Rujuvalika's authorised share capital merges into that of Tata Steel, and Rujuvalika is dissolved without being wound up.

The report gives no effective date for the scheme, only the appointed date.

No shares or cash change hands

There is no share swap and no payment. When the scheme takes effect, Tata Steel's shares in Rujuvalika are cancelled, no new shares are issued and no cash is paid.

Why the group is doing it

According to the report, the merger reduces the number of legal entities and tiers of shareholding in the group and cuts the number of legal and regulatory compliances. It expects savings in administrative, operational and other costs, though the report gives no amounts.

Rujuvalika is registered as a systemically important, non-deposit-taking, middle-layer non-banking finance company. It has no active NBFC operations, and its NBFC licence must be surrendered when the scheme takes effect.

Approvals and conditions

The Reserve Bank of India gave a no-objection certificate on 18 June 2024, subject to conditions on the transfer of legal proceedings. The report says the board approvals came in March and July 2024. Before the application was filed, ₹2,824.15 crore was paid to the Joint Plant Committee to discharge loan obligations.

Tata Steel has undertaken to follow all directions of the Income Tax Department, the GST department and other sector regulators.

What the report does not give

The article does not state the amount of expected savings, a company application or case number, the scheme's effective date, or any financial figures for Rujuvalika.

Key numbers

  • NCLT order: 1 Oct 2026 (Mumbai bench)
  • Certified copy: 15 Oct (Received by Tata Steel)
  • Appointed date: 1 Apr 2023 (Pooling of interests)
  • Consideration: None (No shares or cash)

What boards and CFOs should note

Three points stand out for finance teams. First, the order took 14 days from pronouncement to the certified copy reaching the company, and the scheme still needs to take effect. Second, a merger of a wholly owned subsidiary involves no new shares or cash, but the NBFC licence has to be surrendered and the RBI's conditions on legal proceedings apply. Third, the report states no savings figure, so the stated benefits are the lower number of entities and compliances.
