India’s Competition Commission has approved Adani Energy Solutions’ proposed acquisition of IntelliSmart Infrastructure, removing an antitrust condition from a ₹3,050 crore transaction announced in June.

The deal covers 100% of IntelliSmart’s equity and redemption of optionally convertible debentures held by the National Investment and Infrastructure Fund. Completion remains subject to the other regulatory and customary conditions identified by the parties.

Scale added to the platform

IntelliSmart owns and operates a portfolio of more than 2.2 crore smart meters across Uttar Pradesh, Gujarat, Madhya Pradesh, Bihar and Assam. Adani Energy Solutions said the acquisition would take its combined smart-meter portfolio above 4.7 crore meters.

That scale matters because India’s smart-meter programme is shifting power distribution from manual billing and delayed consumption data toward remotely read, prepaid and data-led systems. The commercial challenge is not only winning meter orders, but installing them on time, keeping communications reliable and collecting payments under long-duration contracts.

Transaction rationale

Adani Energy Solutions expects procurement, operations and maintenance efficiencies from integrating the two platforms. IntelliSmart also expands the buyer’s geographic reach and project base beyond its existing smart-meter order book.

The acquisition is strategically larger than a conventional equipment purchase. Smart-meter projects combine hardware, communications, software, field service and working-capital requirements. Integration therefore brings execution risk alongside potential economies of scale.

What remains to be tested

CCI approval addresses competition review; it does not establish the final closing date or guarantee the forecast synergies. Boards should watch financing, project-level cash conversion, installation milestones, consumer adoption and the quality of meter data after integration.

The stated consideration also needs to be assessed against the cash flows of IntelliSmart’s contracted portfolio rather than meter count alone. Delays in utility approvals, site readiness or communications infrastructure can affect project economics.

Boardroom read

The clearance advances consolidation in a sector central to distribution-company modernisation. For Adani Energy Solutions, the opportunity is a larger recurring infrastructure platform; the discipline required is to convert headline portfolio scale into dependable installations, service levels and cash generation.
